Scrada general terms and conditions

These terms and conditions of use (the “General Conditions”) govern your use of the application. Scrada (the “App”), websites .scrada.be (the “Site”) and associated services (the “Services”), operated by Scrada BV, Windgat 15, 9521 Sint-Lievens-Houtem, Belgium, company number 0793.904.121, info@scrada.be (“Scrada”, “the Supplier”, “we”, “us”, “our”).

By using the App, the Site or the Services, you acknowledge that you have carefully read these Terms and that you accept them without reservation. You can consult them at any time on the Site.

1. Generalities

Entry into force : these terms take effect on the date of your registration via the App or the Site.
User : any natural or legal person acting in a professional capacity and legally authorized to conclude contracts.
Services : provision of the App, the Site and the associated services described in article 2.
Business days : every day except Saturdays, Sundays and Belgian public holidays.

By accepting these Terms, you confirm that you are using Scrada only for business purposes, and not as a consumer.

Scrada reserves the right to change the Terms at any time. Any changes will be communicated to you by email, via the App or the Site. If you continue to use the Services without objection, you are deemed to have accepted the new Terms.

2. Services

Scrada provides the following Services:
Electronic outfit of Daily recipe book (legal obligation according to Royal Decree No. 1 of 29/12/1992 and Circular 2020/C/20).
Electronic cash book.
Issuance of sales invoices.
Connections between cash register systems, e-commerce platforms and accounting software.
Electronic transmission of data to accounting software, chartered accountants or partner systems.

Access is via the App (iOS/Android) or the Website www.scrada.be. An Internet connection is required; Scrada is not responsible for your ISP costs.

Scrada makes every effort to guarantee a professional and quality service. Interruptions may occur for maintenance or improvement. Changes to the Services may not substantially deteriorate their quality; otherwise, you may cancel the service concerned without compensation.

3. Obligations of the User

The prices appear on the Site, excluding VAT. They can be indexed according to the formula:
New Price = Old Price × (0.2 + 0.8 × Current Index/Base Index).

One 15-day free trial is offered upon first registration. After this period, the subscription becomes chargeable unless cancelled before the end of the trial period.

Invoices are payable within 30 days. In case of delay, interest of 8% is applied.

The User remains solely responsible for his relationships with his customers (deliveries, payments, disputes, etc.).

Scrada IDs are personal and cannot be shared. If abuse is suspected, contact: info@scrada.be.

The User must install the updates provided within 14 days.

He makes sure to provide accurate and up-to-date information, including his email address.

Scrada may suspend the service in case of fraud, non-payment, security threat, or reputational damage.

4. Duration and Termination

The contract is concluded for a period indeterminate.

The User can cancel it at any time without notice.

Scrada can cancel with a 2 months' notice, or immediately in the event of a serious breach.

After cancellation, the User may download its electronic journals for 6 months and must keep them for 10 years in accordance with the law.

The data will then be deleted.

All use of Scrada's protected items must cease upon termination.

5. Intellectual property

All intellectual property rights (software, documentation, brands, brands, logos, know-how, etc.) remain the exclusive property of Scrada.

The User receives a non-exclusive and non-transferable license for the use of the Services, without the right to sublicense.

It is forbidden to copy, resell, rent, rent, rent, modify, decompile, or reproduce all or part of the Services.

Scrada retains all rights to the improvements or developments made, even inspired by the User's suggestions.

The User authorizes Scrada to mention his name and logo as a customer reference.

6. Personal data

The processing of personal data is in accordance with Regulation (EU) 2016/679 (RGPD).

Scrada acts like responsible for the treatment.

The Privacy Policy is available on: https://www.scrada.be.

All personal data is considered to be Confidential.

7. Force majeure

No party is responsible if the execution is prevented by an event beyond its control (natural disaster, war, fire, electrical failure, administrative decision, etc.). Each party must immediately notify the other in case of force majeure.

8. Confidentiality

Each party is committed to:

keep all non-public information received confidential;

use them only for the execution of the contract;

disclose them only to authorized persons under obligation of confidentiality;

return or destroy them at the end of the contract.

These obligations survive termination. The information remains the property of the issuing party.

9. Responsibility

The Services are provided “as is” ; error-free availability cannot be guaranteed.

Scrada is not responsible for input errors, for content provided by the User, or for failures in third-party services (telecom, payment, etc.).

No responsibility for indirect damage (loss of profit, reputation, opportunities...).

Scrada's total liability is limited to the amount paid by the User during the previous 3 months, or to €20 if the free service is used.

10. Final provisions

Scrada may use subcontractors or assign the contract without prior authorization.

The User cannot transfer his rights without written agreement.

If one clause is found to be invalid, the others remain valid; an equivalent provision will be replaced.

The contract is governed by the Belgian law.

Any dispute will be subject to the CEPANI mediation or, failing that, to Ghent Courts.
